Terms of Service

These Terms of Service (the 'Terms') set forth the conditions for use of the AI image analysis service 'GeXeL' (the 'Service') provided by KNiT Inc. (the 'Company'). Users of the Service ('Users') shall use the Service in accordance with these Terms.

Article 1 (Application)

These Terms apply to all relationships between the User and the Company concerning the use of the Service. Where the Company posts individual provisions concerning the Service, such individual provisions shall also constitute part of these Terms.

Article 2 (Registration)

Anyone wishing to use the Service shall apply for registration in the manner prescribed by the Company after agreeing to these Terms. The Company shall complete registration if it determines to approve the applicant's registration. The Company may decline registration applications if certain reasons exist.

Article 3 (Fees and Payment)

Users shall pay the fees separately determined by the Company in the manner specified by the Company as consideration for the Service. Details of pricing plans, payment dates, and payment methods shall follow the contents posted on the Company's website or stated in individual contractual documents.

Article 4 (Prohibited Acts)

Users shall not engage in any of the following acts when using the Service:

  • Acts violating laws or public order and morals
  • Acts related to criminal conduct
  • Acts infringing intellectual property rights, portrait rights, privacy, honor, or other rights or interests of the Company, other Users, or third parties
  • Acts that may interfere with the operation of the Service
  • Acts of analyzing the Service's source code through reverse engineering, decompilation, disassembly, etc.
  • Attempts at unauthorized access
  • Other acts deemed inappropriate by the Company

Article 5 (Suspension of Service)

The Company may suspend or interrupt the provision of all or part of the Service without prior notice when performing maintenance or updates to the computer system, when force majeure such as earthquakes, lightning, fire, power outages, or natural disasters makes provision difficult, or when the Company otherwise determines that provision of the Service has become difficult.

Article 6 (Copyright and Intellectual Property)

Copyright and other intellectual property rights related to the Service and all information and content related to the Service belong to the Company or those who license to the Company. Users shall not use information or content obtained through the Service by copying, reposting, modifying, distributing, publishing, broadcasting, public transmission, lending, transferring, or any other means without the Company's prior written consent.

Article 7 (Handling of Uploaded Images)

Copyright in images uploaded to the Service by Users (the 'Uploaded Images') belongs to the User. However, Users agree that the Company may use the Uploaded Images in irreversibly processed and statistically aggregated form for the purposes of providing the Service and improving the quality and AI models of the Service. The Company shall not externally publish the Uploaded Images in a form that allows the original images to be identified or restored.

Article 8 (Disclaimer of Warranty and Limitation of Liability)

The Company makes no warranties, either express or implied, that the Service is free from defects in fact or law (including defects, errors, bugs, infringements, etc. concerning safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, security, etc.). The Company shall not be liable for any damages incurred by Users arising from the Service, except in cases of intentional or gross negligence by the Company.

Article 9 (Changes to Service Content)

The Company may change, add, or discontinue the contents of the Service with prior notice to Users, and Users shall agree to this in advance.

Article 10 (Changes to Terms)

The Company may change these Terms at any time without notice to Users when deemed necessary. Users who begin using the Service after changes to these Terms shall be deemed to have agreed to the revised Terms.

Article 11 (Handling of Personal Information)

The Company shall handle personal information acquired through use of the Service appropriately in accordance with the Company's Privacy Policy.

Article 12 (Governing Law and Jurisdiction)

Japanese law shall be the governing law for the interpretation of these Terms. Any disputes concerning the Service shall be subject to the exclusive jurisdiction of the Osaka District Court.
